Corporate Governance Policies – Introduction

Compliant with the Securities and Commodities Authority (SCA) requirements and all applicable UAE regulations, our policies guide responsible conduct across the organization and ensure that decisions are made in the best interest of the Company and the community we serve.
Our key corporate policies form the foundation of our governance system and outline the standards expected of everyone representing Emarat.
1. Code of Ethics
Our Code of Ethics defines the ethical and professional standards expected from all Board Members, Executive Management, Employees, and Emarat’s third parties. It guides individuals in recognizing ethical dilemmas, making responsible decisions, and demonstrating honesty, fairness, and respect in everything we do.
The Emarat Code of Ethics supports transparent conduct, encourages reporting of concerns, and reinforces our commitment to protecting Emarat’s reputation. It works alongside the Whistleblowing Policy, which guarantees confidentiality, ensures that concerns can be raised safely, and upholds a strict non-retaliation principle. Together, these frameworks empower employees and representatives to speak up without fear and safeguard ethical behavior across all operations.
2. Conflict of Interest Policy
The Conflict of Interest Policy ensures that decisions are made objectively and in the best interest of Emarat. It provides clear direction on identifying, disclosing, and managing circumstances that could compromise—or appear to compromise—independent judgment.
The Policy outlines when disclosures are required, how conflicts are reviewed, and the obligations of individuals to refrain from participating in decisions where a conflict exists. This approach preserves fairness, strengthens accountability, and safeguards the Company’s credibility.
3. Confidentiality Policy (Information Security)
This Policy establishes Emarat’s commitment to safeguarding all sensitive information entrusted to the organization. It defines the standards for how business data, financial records, personal information, and proprietary materials must be accessed, shared, stored, and securely disposed of.
The Policy promotes responsible information handling, mitigates risks associated with unauthorized access or misuse, and ensures that all employees and stakeholders exercise the highest level of care when managing confidential information.
4. Diversity & Inclusion Policy
Our Diversity and Inclusion (D&I) Policy affirms Emarat’s commitment to creating a fair, inclusive, and equitable workplace. We value diversity across gender, nationality, culture, experience, skills, and perspectives, recognizing that inclusion enhances innovation, decision-making, and long-term performance.
The D&I Policy ensures transparent and merit-based recruitment and selection processes for Employees and Board Members. It fosters a culture where every individual feels respected, valued, and empowered to contribute.
5. Whistleblowing Policy & Non-Retaliation Principle
The Whistleblowing Policy provides a safe and confidential channel for reporting concerns about suspected misconduct, including fraud, unethical behavior, or violations of laws and Company policies. Reports are assessed objectively and handled through controlled oversight mechanisms.
The Policy protects the confidentiality of whistleblowers, ensures fair and independent investigation of concerns, and strictly prohibits retaliation against individuals who report possible misconduct. It reinforces a culture in which speaking up is encouraged and protected.
6. Fraud & Bribery Prevention, Detection & Response Policy
This Policy sets out Emarat’s zero-tolerance approach to fraud, bribery, and corruption. It defines expected standards of integrity, outlines responsibilities for preventing and detecting misconduct, and provides mechanisms for reporting and addressing suspected violations.
By promoting transparency and reinforcing accountability at every level, the Policy helps safeguard Emarat’s assets, reputation, and stakeholder trust.
7. Corporate Social Responsibility (CSR) Policy
The CSR Policy reflects our commitment to sustainable and responsible business practices. It integrates environmental stewardship, social impact, and ethical conduct into our operations, aligning with national priorities such as the UAE Vision 2030.
